Affiliate Program Terms & Conditions
Please read these terms carefully before applying to the Avedson Marketplace Affiliate Program.
1. Program Overview
The Avedson Marketplace Affiliate Program allows approved customers to earn commissions by referring new buyers. Affiliates receive a unique referral code they can share with friends, family, or their audience. When someone makes a purchase or applies for a loan using that code, the affiliate earns a commission.
2. Eligibility & Application
To become an affiliate you must be a registered customer and submit an application that includes:
- A brief motivation statement (minimum 20 characters) explaining why you want to join and how you plan to promote products.
- A valid phone number.
- Your location (Guam, Saipan, Tinian, Rota, or Other).
- A link to your Facebook profile.
- A clear photo or scan of a valid government-issued ID (JPG, PNG, or PDF, max 5 MB). This is stored securely and accessible only to administrators.
- Optional links to other social media profiles (Instagram, TikTok, etc.).
Each customer may submit only one affiliate application. Applications are reviewed by our team, typically within 1–2 business days. You will be notified by email once a decision is made.
3. Referral Tracking
Referrals can be attributed to an affiliate in two ways:
Referral Link (Automatic)
- When someone clicks your unique referral link, a browser cookie is stored on their device for 30 days.
- Any purchase or loan application made during that window is automatically attributed to you.
- The first affiliate link clicked takes precedence — subsequent clicks from different affiliates will not overwrite the original cookie.
Manual Code Entry
- Customers may manually enter an affiliate code at checkout or during a loan application.
- A manually entered code takes priority over any cookie-based code.
Only one affiliate receives credit per transaction.
4. Commission Structure
Commissions may be calculated as either a percentage of the eligible order total or a fixed dollar amount per unit sold, depending on the product.
The system determines which rate to use based on the product-specific commission rate set by an administrator.
- Product-specific rate — a custom rate (percentage or fixed) set for the individual product. Only products explicitly added to the affiliate program earn commissions.
For orders containing multiple eligible products with different commission types, the commission is calculated per product and then totaled.
5. Holding Period & Approval
Commissions are not immediately available. Each commission enters a 14-day holding period to allow for potential order cancellations, refunds, or loan rejections.
- If the order or loan remains valid after the holding period, the commission is automatically approved and credited to your wallet.
- If the order is cancelled or refunded during the holding period, the commission is automatically cancelled.
- Administrators may manually approve a commission before the holding period ends.
6. Wallet & Payouts
All approved commissions are deposited into your digital wallet within the platform. Key payout rules:
- Your available balance must meet the minimum payout threshold of $5.00 before a payout can be processed.
- There is a monthly payout cap of $100.00 per affiliate, which resets at the start of each calendar month.
- Payouts are processed by an administrator. You will receive an email notification when a payout is completed.
- Each payout is recorded with the amount, payment method, reference number (if applicable), and processing details.
7. Cancellations & Refunds
During the Holding Period
If an order is cancelled or refunded while the commission is still pending, the commission is automatically cancelled. No funds are deducted because no credit was applied.
After Commission Approval
If an order is cancelled or refunded after the commission was already approved and credited:
- The commission status is changed to Cancelled.
- The commission amount is deducted from your total earnings.
- The full amount is debited from your wallet.
- If your wallet has insufficient funds (e.g., you already received a payout), the shortfall is logged for manual review by an administrator.
Loan Applications
When a loan application is cancelled or rejected, the associated affiliate commission is reversed using the same logic described above.
8. Affiliate Statuses

|---|---|
| Pending | Application submitted, awaiting review. |
| Approved | Active affiliate — can earn commissions and referral link is active. |
| Rejected | Application was denied. You will be notified with a reason. |
| Suspended | Temporarily disabled — no new commissions can be earned. Existing pending commissions may still be processed. |
| Closed | Permanently deactivated — account is closed and cannot be reinstated. |
9. Self-Referral Policy
Affiliates cannot earn commissions on their own purchases. If you use your own referral code at checkout or on a loan application, the referral will be silently ignored and no commission will be generated.
10. FTC Disclosure Requirements
In accordance with the Federal Trade Commission's Endorsement Guides (16 CFR Part 255), which apply to all U.S. states and territories including Guam and the CNMI, affiliates must clearly and conspicuously disclose their material connection with Avedson Marketplace whenever promoting products or sharing referral links.
Required Disclosures
- All social media posts, blog articles, videos, and other promotional content that include your referral link or code must contain a clear disclosure such as #ad, #sponsored, #affiliate, or #commissioned.
- Disclosures must be placed before any "read more" fold or truncation point. They must not be buried in hashtags or hidden from view.
- You must not make false, exaggerated, or unsubstantiated claims about any product or service.
- You must only endorse products you have personally used or have a genuine basis for recommending.
11. Prohibited Activities & Anti-Fraud
The following activities are strictly prohibited and will result in immediate suspension or permanent closure of your affiliate account, forfeiture of all pending and unpaid commissions, and potential legal action:
- Click fraud: Generating artificial or automated clicks on your referral link.
- Cookie stuffing: Planting referral cookies on users' devices without their knowledge or informed consent (e.g., through invisible iframes, image pixel redirects, or forced pop-ups).
- Fake accounts: Creating fake customer accounts or coordinating with others to create fraudulent orders to inflate commissions.
- Self-referral circumvention: Attempting to earn commissions on your own purchases by using alternate accounts, proxies, or third-party intermediaries.
- Trademark bidding: Bidding on Avedson Marketplace's trademarks, brand terms, or variations thereof in paid search advertising without express written permission.
- Misleading advertising: Using false claims, deceptive imagery, or misrepresentation to drive referral traffic.
- Spam: Sending unsolicited bulk messages (email, SMS, or social media) containing your referral link.
Avedson Marketplace employs automated fraud-detection systems that monitor referral patterns, IP addresses, and account behavior. Violations of these rules may also constitute unfair business practices under 5 GCA Chapter 32 (Guam) or the CNMI Consumer Protection Act and may be reported to the relevant territorial authorities.
12. Rules & Restrictions
- Each customer may only have one affiliate account.
- Only one affiliate receives credit per transaction. If a customer has a referral cookie and also manually enters a different code, the manually entered code takes priority.
- Misuse of the program, including fraudulent referrals, spamming, or misrepresentation, may result in suspension or permanent closure of your affiliate account.
- Avedson Marketplace reserves the right to modify commission rates, payout thresholds, or these terms at any time. Continued participation after changes constitutes acceptance of the updated terms.
13. Privacy & Data Handling
When you apply to the affiliate program, we collect additional personal information beyond your standard account data:
- Government-issued ID: Collected for identity verification purposes only. Stored on our secure private servers with access restricted to authorized administrators. Not shared with third parties except as required by law.
- Phone number and location: Used for program communication and eligibility verification.
- Social media profiles: Used to evaluate your promotional reach and ensure suitability for the program.
Data Retention
- Approved affiliates: Government ID and application data are retained for the duration of your participation in the program, plus seven (7) years after account closure for financial record-keeping compliance.
- Rejected applicants: Government ID files are automatically purged within ninety (90) days of rejection. Other application data is retained for one (1) year for audit purposes.
- Closed accounts: Government ID files are purged within one (1) year of account closure.

14. Account Suspension & Termination
Avedson Marketplace may suspend or permanently close an affiliate account at its sole discretion for any violation of these terms. Consequences include:
- Suspended accounts cannot earn new commissions, but existing pending commissions may still be processed.
- Closed accounts are permanently deactivated and cannot be reinstated.
- Any outstanding wallet balance at the time of closure remains subject to payout at the administrator's discretion.
15. Limitation of Liability
THE AVEDSON MARKETPLACE AFFILIATE PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. Avedson Marketplace MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PROGRAM, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
- Avedson Marketplace's total aggregate liability to you for any claims arising out of or related to the affiliate program shall not exceed the total commissions paid to you in the twelve (12) months preceding the claim.
- Avedson Marketplace shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or loss of data.
- Avedson Marketplace is not responsible for system downtime, technical errors, or temporary unavailability of referral tracking that may affect commission attribution.
16. Indemnification
You agree to indemnify, defend, and hold harmless Avedson Marketplace, its officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to:
- Your promotional activities, including content you create or share in connection with the affiliate program.
- Your breach of these terms and conditions.
- Your violation of any applicable law, regulation, or third-party right, including FTC disclosure requirements.
- Any tax liability arising from your affiliate earnings.
17. Governing Law & Dispute Resolution
These terms and conditions shall be governed by and construed in accordance with the laws of the Territory of Guam, without regard to its conflict-of-law principles, and applicable federal laws of the United States (including the FTC Act, 15 U.S.C. § 45).
Dispute Resolution
- Informal Resolution: Before initiating formal proceedings, you agree to first contact Avedson Marketplace and attempt to resolve any dispute informally for a period of at least thirty (30) days.
- Jurisdiction & Venue: Any legal action or proceeding arising out of or relating to these terms shall be brought exclusively in the Superior Court of Guam or the District Court of Guam. You consent to the personal jurisdiction of these courts.
- CNMI Affiliates: Affiliates located in the Commonwealth of the Northern Mariana Islands (Saipan, Tinian, Rota) also consent to jurisdiction in the CNMI Commonwealth Superior Court or the U.S. District Court for the Northern Mariana Islands, at Avedson Marketplace's sole election.
