To access certain Avedson.com services, a personal account is necessary, along with a valid payment method associated with the account, requiring both login credentials and a secure password. Should there be any payment issues, alternate valid payment methods linked to the account may be charged. Responsibility lies with the account holder for maintaining confidentiality and restricting access. Adults, as customers, may buy products for children using permitted payment methods, while individuals under 18 require parental or guardian involvement to use Avedson.com services. Avedson.com retains the right to refuse service, terminate accounts, revoke usage privileges, edit content, or cancel orders at its discretion.

All content included in or made available through Avedson.com including text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software is the property of Avedson or its content suppliers and protected by United States and international copyright laws. The compilation of all content included in or made available through any Avedson Service is the exclusive property of Avedson and protected by U.S. and international copyright laws.

Avedson is not responsible for any liabilities arising from disputes between the customer and their bank regarding credit card transactions. Please note that there may be a deliberation period for processing dispute claims. Avedson reserves the right to verify the eligibility of credit cards for use as a payment method through mobile phone or email.

 

For Sellers

These terms and conditions outline the rights and obligations of both parties regarding commission on sales, wholesale pricing, submission requirements, and eligible products for sale. It is essential that you carefully review and understand these terms before proceeding.

By clicking "I Agree," you expressly acknowledge that your acceptance of these terms and conditions constitutes a legally binding agreement between you and Avedson. If you do not agree with any part of these terms, you should refrain from clicking "I Agree" and should not proceed with any further actions related to the Avedson Seller Agreement.

Avedson reserves the right to update or modify these terms and conditions at any time without prior notice. It is your responsibility to periodically review this agreement for any changes. Your continued use of Avedson.com or services after any such modifications shall constitute your acceptance of the updated terms.

 

Commission on Sales:

a. The seller agrees to pay Avedson a five percent (10% - 12%) commission on all eligible sales made successfully.

b. The commission rate shall be mutually agreed upon by both parties and specified in writing.

c. The commission shall be calculated based on the net sales amount after deducting any applicable taxes, discounts, and returns.

 

Requirements to Submit:

a. The seller shall provide a copy of their business license(s).

b. The seller shall provide accurate and up-to-date information about their business.

 

Eligible Products to Sell:

a. Avedson shall provide the seller with a list of eligible products available for sale.

b. The seller agrees to sell only those products specified by Avedson and to refrain from selling competing products without prior written consent.

c. Avedson reserves the right to add or remove products from the list of eligible products at any time, with reasonable notice provided to the seller.

 

Payment Terms:

a. The seller agrees to pay Avedson its commission at the end of each billing period.

b. Payment shall be made via mutually agreed payment method, unless otherwise agreed upon by both parties.

 

Term and Termination:

a. This agreement shall commence on the effective date and continue until terminated by either party with 14 days written notice.

b. Either party may terminate this agreement immediately in the event of a material breach by the other party.

 

Confidentiality:

a. Both parties agree to keep confidential any proprietary or sensitive information shared during the course of their business relationship.

b. This includes, but is not limited to, customer lists, pricing information, and trade secrets.

 

Governing Law:

a. This agreement shall be governed by and construed in accordance with the laws of

CNMI, Guam, Micronesia Islands and North America.

b. Any disputes arising out of or in connection with this agreement shall be resolved through arbitration in accordance with the rules of American Arbitration Association.

 

Restrictions:

Avedson.com reserves the right to enforce restrictions on the sale of certain items on its platform. The following items are strictly prohibited or cannot be sold on Avedson.com:

 

a. Weapons and firearms (e.g., guns, ammunition)

b. Prescription drugs and pharmaceuticals

c. Recalled products

d. Counterfeit goods or unauthorized replicas

e. Tobacco and related products

f. Alcoholic beverages

g. Hazardous materials (e.g., chemicals, explosives)

h. Stolen goods or items with questionable ownership

i. Offensive or prohibited content (e.g., hate speech, pornographic material)

j. Endangered species and products derived from them (e.g., ivory)

 

Please note that this list is subject to change and may be updated by Avedson.com. Additionally, specific categories and products may have additional requirements or restrictions imposed by Avedson.com.

 

Miscellaneous:

a. This agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or oral.

b. Amendments to this agreement must be made in writing and signed by both parties to be valid.

 

For Returns and Refunds

By clicking "I Agree," you (referred to as "the Seller / the Customer") acknowledge that you have read, understood, and agree to be bound by the following terms and conditions governing your interactions with Avedson (referred to as "Avedson" or "the Marketplace").

This policy outlines the procedures and guidelines for requesting refunds and returns for products purchased through the Avedson platform, whether through the mobile app or website. It is essential that you carefully review and understand these terms before proceeding with any purchases.

By clicking "I Agree," you expressly acknowledge that your acceptance of these terms and conditions constitutes a legally binding agreement between you and Avedson. 1. Refunds:

a. Avedson strives to ensure customer satisfaction with every purchase. If you are not completely satisfied with your purchase, you may request a refund subject to the terms outlined below.

b. Refund requests must be submitted within the maximum of three (3) days of the purchase date.

c. To initiate a refund, please contact Avedson customer support through the mobile app or website and provide details of your order.

d. Refunds will be issued to the original payment method used for the purchase.

e. Please allow 30 days for the refund to be processed and reflected in your account.

 

2. Returns:

a. Avedson accepts returns for eligible products within three (3) days from the date of delivery.

b. To be eligible for a return, the product must be unused, in its original packaging, and in the same condition as received.

c. Customers are responsible for the cost of return shipping unless the return is due to an error on the part of Avedson or the product is defective.

d. To initiate a return, please contact Avedson customer support to obtain a return authorization and shipping instructions.

e. Once the returned product is received and inspected, Avedson will process the refund or exchange accordingly.

f. Restocking fee shall be implemented if applicable.

 

3. Non-Returnable Items:

a. Certain products may not be eligible for returns due to hygiene reasons or other restrictions. These include but are not limited to:

Perishable goods
Personal care items
Underwear

For Delivery

This document outlines the terms and conditions governing the relationship between Avedson (referred to as "Avedson" or "the Company") and delivery company partners (referred to as "Delivery Partners") providing transportation services for Avedson's products.

By entering into this agreement, Delivery Partners agree to abide by the terms and conditions outlined herein. These terms are designed to ensure the smooth and efficient transportation of products from Avedson's warehouses to customers' specified delivery locations.

 

1. Scope of Agreement:

a. These terms and conditions govern the relationship between Avedson and delivery company partners (referred to as "Delivery Partners") providing transportation services for Avedson's products.

b. By entering into this agreement, Delivery Partners agree to adhere to the terms outlined herein.

 

2. Transportation Services:

a. Delivery Partners shall provide transportation services for Avedson's products from designated warehouses to customers' specified delivery locations.

b. Delivery Partners shall ensure timely and secure delivery of products in accordance with Avedson's delivery standards and customer expectations.

 

3. Responsibility for Damaged Products:

a. Delivery Partners are responsible for ensuring that products are handled with care during transportation to minimize the risk of damage.

b. In the event that products are damaged during the transportation process due to negligence or mishandling by the Delivery Partner or driver, the Delivery Partner shall be liable for the damages.

c. Avedson reserves the right to seek compensation from the Delivery Partner for any damages incurred as a result of negligent transportation practices.

 

4. Reporting of Damaged Products:

a. Delivery Partners must promptly report any instances of damaged products to Avedson's designated contact person.

b. Reports should include detailed information regarding the nature and extent of the damage, as well as any relevant documentation such as photographs or incident reports.

 

5. Resolution of Disputes:

a. In the event of a dispute regarding responsibility for damaged products, Avedson and the Delivery Partner shall work together in good faith to resolve the matter amicably.

b. If a satisfactory resolution cannot be reached through negotiation, the parties may seek mediation or arbitration as a means of dispute resolution.

 

6. Compliance with Laws and Regulations:

a. Delivery Partners shall comply with all applicable laws, regulations, and industry standards governing the transportation of goods, including but not limited to vehicle safety regulations and licensing requirements.

b. Delivery Partners shall maintain all necessary permits, licenses, and insurance coverage required to operate legally within the jurisdiction(s) in which they operate.

 

7. Confidentiality:

a. Both parties agree to keep confidential any proprietary or sensitive information shared during the course of their business relationship, including but not limited to customer data and pricing information.

 

8. Termination of Agreement:

a. Either party may terminate this agreement at any time with written notice to the other party.

b. Termination of the agreement shall not relieve the Delivery Partner of any obligations accrued prior to the effective date of termination.

 

9. Governing Law:

a. This agreement shall be governed by and construed in accordance with the laws of

CNMI, Guam, Micronesia Islands and North America.

b. Any disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts in the American Arbitration Association.

 

10. Miscellaneous:
